San Francisco-based startup CodeRabbit secured $143 million in Series C funding, valuing the company at $1.5 billion as organizations scramble to manage the flood of software produced by artificial intelligence. The investment round, announced Wednesday, was jointly led by Atomico and Smash Capital, with backing from new investors including BMW i Ventures, Datadog, Hirtle Callaghan, SineWave Ventures, and Scenic Management, alongside existing supporters CRV, Scale Venture Partners, and Flex Capital. The funding underscores growing demand for tools that can review and monitor code written by AI before it reaches production systems.

CodeRabbit, which launched in 2023, has now pulled in at least $219 million in total capital. The company conducts more than 2 million code reviews weekly and counts over 17,000 customers, including Nvidia, BMW, Indeed, JFrog, Trivago, Adyen, and Campfire. Alongside the funding announcement, CodeRabbit unveiled "Agentic Change Management," a platform built to help organizations review, prioritize, explain, and track software changes created by both human programmers and AI coding agents. The new capital will fuel international expansion, including a recently opened London office and planned entry into Japan and other Asian markets. CodeRabbit also committed to spending more than $10 million over the coming year to keep its AI code review and agent capabilities free for open-source projects and maintainers.

"There is massive pull in the market right now for a product like this," CodeRabbit CEO Harjot Gill told Bloomberg. "It's almost like a land grab moment for us." Atomico partner Luca Eisenstecken, who's joining CodeRabbit's board, said organizations will increasingly require independent systems capable of validating software no matter which AI model generated it. The platform includes new tools for routing pull requests, analyzing the wider impact of code changes, and continuously scanning production code for security vulnerabilities and maintainability risks.

The investment points to a shift in AI infrastructure priorities, with the next wave potentially focusing less on generating code and more on controlling it. As companies adopt AI-powered development tools, governance, security, and quality assurance emerge as larger operational risks. For businesses, that could mean spending more on software oversight even as AI reduces the cost of writing code itself. For developers, tools that automatically explain changes, route reviews, and detect vulnerabilities may become standard parts of the engineering workflow, though these systems introduce another layer of automation that teams must trust and manage.

Whether platforms like CodeRabbit become essential infrastructure will hinge on how accurately they can identify real risks without slowing down the speed that AI coding promises. The tradeoff is clear: organizations gain automated oversight but must balance it against the velocity gains AI tools deliver. For engineering leaders weighing these platforms, the decision comes down to whether the governance layer adds more value than friction in an already complex toolchain.
